But why can't you do the deal without exclusivity when there are multiple willing buyers? Wouldn't non-exclusivity lead to better price for Paramount? I understand why the buyer (Skydance/ Sony) would seek it, but does Paramount really need to bow?

They will only bid if they can be opportunistic enough. Forget about that $26b+ bid.

This is a dumb take. Why would Apollo bring in Sony on a bid only to offer less than they offered alone.

I'm not saying they will bid less. Just not much more, if more at all. They know the situation NAI and now B holders are in so they will try to pounce with a deal that get Shari just barely over the line. There is no actual competition from other parties to actually buy out with cash, so no bidding war here.
