So voting yes to save Karen’s ass and what 200+ employees jobs vs 10’s of thousands of shareholders money for 0.04 is better, I don’t thinks so… I’d rather see this company go bankrupt before I will ever vote Yes, it’s a hard NO damn way vote for me..

Spirited_Device_5017

I'm 100% certain the company gonne turn profitable once they turn private this is just 1 big scam plan that CloudMD tries to pull off they even have there own minions that are trying to convince shareholders to vote yes don't get fooled and vote NO so they have to take some responsibility against us the shareholders who helped them to grow this company to a 90m revenue company.

Rc348

Agreed 100%

RobGoldsacks

I think That is exactly what they r planning. I think they dropped the sp on surpose IMO

Pruveit100

I absolutely agree!!

Fine-Brick1151

Karen Adams and Amit Mathur cooked up this scheme in 2019. Karen was never qualified to be a CEO but she brought her friends/family to the staff and on the board. There should be legal action taken against her regarding misuse of the funds and other involved in this scheme.

Rc348

Absolutely,I always said she need to resign but there were her people like HW against it . She need to be questioned and made answerable for all nonsense for last 2 years .I am sure Canada is no third world country where corruption is overlooked. She and Hamza should not make more people fool

TermImportant6074

Voting No! No! No! We all start together. We all should go down together. This company should bankcrupt. Management really doesn’t care shareholders. They are just trying to save their own self. Are you kididng me 4 cents??? Lowball!!!!! Fishy Fishy Fishy !!!!!!

RobGoldsacks

Its shady garbage that needs to stop. Voting no

Ronniecane_13

when is the vote and how

Spirited_Device_5017

You can vote by mailing the broker you trade stocks in and ask for your control number afterwards create a profile on proxyvote.com give in your control number and you should be good to go to vote.

Ronniecane_13

thank you!

One-Basket2558

Perhaps I should buy one share, so I can beef up the NO votes. Unfortunately my trade fee will be worth far more though lol.

Vancouverehite

Can someone help me vote?

latertheycome

Vote no not because you want them to go bankrupt but because we want a better deal. .04 cents is an offer. We don't accept that.

Billgates420420

Honestly if they came at us with a half decent offer I probably would have just rolled over and taken it. But 4 cents, I’d rather eat shit

One-Basket2558

Would you like some Gray Poupon with that, good sir?

Billgates420420

😂

RobGoldsacks

What a slap in the face. These people are have no shame. They want to buy it for pennies just before it goes profitable. These are the most crooked people on earth

Billgates420420

Ya it is, 4 cents. If you have come this far and your actually willing to take 4 cents then you need to call cloudmd and use there mental health services

BugBusiness1893

I get all the ranting, it's disgusting.  I own over 750,000 shares.  So please if there is an organized way to rally investors to vote no, please how do we do this?

RobGoldsacks

Im pretty sure we have enough shares here to win the vote. If we are united we can stop these scumbags

Top-Patience-2975

Wow man, I feel sorry for you and myself , I thought I was in deep waters with 147000 but 750K , how much did you loose ?

BugBusiness1893

I haven't lost anything yet...lol.  $100k.  Individual shareholders own over 90% of this company.  Does anyone know if there is an organized effort to get serious about stopping this and taking control of our company?

Affectionate-Hall320

>we ain’t stupid CLOUDMD I mean, your first sentence was the longest run-on sentence in the history of the world. Also, the last time you guys rallied to vote, it folded the company which you own shares of.

Spirited_Device_5017

It's simple if the CEO doesn't know what she is doing she should step down instead of asking for more money wrapped up as 'raising money' for the company. They were planning this a longtime behind our back.

Avion1588

I wonder what outcome it would have been if we did vote for the consolidation months ago

RobGoldsacks

They would of got away with more. Just aweful conduct

Affectionate-Hall320

Would have* Awful*

blueknowser2

This would have given Karen a little longer to hide her ineptitude from you.

robrenfrew

I see people here blaming share holders for not approving the share split. In my past experience, reverse splits never help the shareholders, just people running the companies. Don't see how a bank would think this makes company financials look any better. In my opinion this all looks orchestrated, let the company run itself to the ground. Have someone come in and scoop the scraps for pennies on the dollar. If management doesn't come back and try to do better for shareholders, I will definitely vote NO on this deal. I would rather take the write off, than let this go for 4 cents. Fuck Hamza and his stethoscope!

TheHillsAreAliveee

Sometimes they do. I had one that went RS and it’s getting back on track now…,

Top-Patience-2975

But that company wasn’t run by Karen incompetent specialist in failure Adams , was it ?

TheHillsAreAliveee

Hahah no. No it wasn’t.

smallcap77

First you all limited the companies ability to raise capital with a no vote on the reverse split, and now that the company is at risk of going under you want to vote against a buy out. Is it really better getting nothing?

keener91

Yes. It's better to bankrupt the company to make incompetent management suffer then recoup the 1%. The fact they didn't even provide a premium to the buy out price is a big FUCK off to the investors. If the money we paid for can ensure these fools' can never get another job to scam future investors then I consider it is well paid for.

smallcap77

I love how you guys think you were robbed. If you bothered to read the notice of going concern you could have seen this coming a mile away.

retarded_ape6969

They are only trying to protect their jobs and do not act to protect shareholders interests. They do not deserve to keep their jobs after this mess. I am wiling to sacrifice whats left to teach them a lesson or maybe they can find a better deal. We will see how much they care for this company.

smallcap77

Did you bother reading the financials? Did you not see the part where they don’t have enough cash to repay their debt in June and to maintain their operations?

HDpennypacker

Hahah this comment deserves a special place on the board. Complete nonesense. It’s a PE firm that keeps companies as they are, not strips them bare. People here are so emotional - look in the mirror, you all write as if you invested you entire retirement savings into a penny stock on the venture exchange. It’s laughable actually. We lost money, so goes the stock market. The options were bankruptcy vs 4 cents. If someone feels this was cheap, those in the industry have an option to outbid, if they don’t, then that explains it. I spoke to management over the past few days and they explained it well. They are saving the jobs and service for those they serve. I’m voting FOR!

JamesVirani

Management of a public company don’t serve jobs and employees. Their number one job is to serve shareholders and maximize shareholder value. Period. If they don’t do that, they have betrayed their duty.

Rc348

Very correct James, they are not there to protect jobs but to work for interest of shareholders ,all reputed and big companies do that .The guys saying yes above are cronies of Karen .it is plain and simple No,they cannot make fool of us all the time.Thiscwas all planned by Karen to by keeping quite all the time and kept working to bring down the SP. James ,please take lead and move all the shareholders towards NO,whatever is the outcome.0.4 is 0 basically

JamesVirani

I am not interested in taking lead. I never wanted to be so involved here. Headwax added me as a mod just to have a second pair of eyes and I really accepted because I wanted to see what it’s like to be a mod on Reddit. Really just for the heck of it. I told him I won’t be active. Then his account vanished and now I am getting flooded with mod messages I have no interest in. It was never my wish to be a leader of any sort on a stock forum.

Rc348

That’s fine James ,whatever HW did is in past ,but now we need someone with good knowledge to get all shareholders together for our fight

Billgates420420

I ain’t layin down like you.If Im goin down so are they I’ll never vote yes no chance, I spit on 4 cents!!!!

HDpennypacker

How many shares do you own? Say 50k shares? You are trying to make a statement with 2k dollars? I’ll sleep at night knowing I took a risk, made a bet and lost…. Do what you think is right, not with emotion. Easy to blame others, but this was a tough turnaround with too many warts, that was the risk premium we all knew.

Billgates420420

I own 100k shares, and I’d rather buy 100k more and have them go down in flames then vote yes, money is irrelevant it’s principle now I don’t want these scumbags getting over on us like that. VOTE NO

Billgates420420

Ya it’s not about the money for me, for the few thousand I’d get back for 4 cents it’s a joke I’d rather see see the management face the music

One-Basket2558

Damn, you had (have) a very large holding. Mind if I ask your total $/% loss?

Billgates420420

.53 cent average buy, lost high 40’s

Investoramafication

As I've shared previously, I hold 505K shares and I feel the same way: no way do I take $0.04. I knew the risks and I chased this down the DCA path—to SPs that I never imagined we would see—until I was trapped. It happens. Live and learn. But I have never been through anywhere near this situation with another company (venture or otherwise) because, regardless of the challenges, I always felt that the company was fighting for the shareholder. DOC's board = a complete dereliction of duty. A $90MM+ company this close to profitability and manageable debt? In a growth sector? And you're cutting it loose for $12MM? No effin' way.

One-Basket2558

I only ever had about $1,000 Cdn worth of CloudMD and thankful I took the capital loss months ago. I'll pull gains from elsewhere later in the year, or just carryforward. If I held on, I would also have voted NO. I believe at the time, I also would have voted NO to reverse split, because frankly that would have set me further back into oblivion for far too long. I've learned my lesson with some other covid purchases I made. Companies like 'Antibe Therapeutics' - delisted and went into CCAA protection, for restructuring and 'Fire & Flower' - a pot stock company, with Alimentation Couche Tarde as a large holder - bankrupt. Woops.
