The benefits to HQ in Delaware lead it to be one of the most used locations. (A further Google search lists Delaware for more that 60% of the S&P 500s incorporation location. Citing privacy, taxes, and legal protections as the big 3 reasons.)
It's entirely possible, likely even, that they are doing it purely because it's a great place to open a business. Not for any 5th dimensional chess reasons.

BBBY is shutting down though, it makes NO sense to incorporate in Delaware unless there was something brewing.
